Specialization:

Attorney-at-law specialising in business law, in particular company law and rendering comprehensive legal services for companies. He has extensive experience in the creation and reorganisation of international capital structures and legal service of companies ranging from their establishment, through day-to-day legal service of their operation (including preparation of documentation for meetings and representation of shareholders at shareholders’ meetings) to M&A restructuring processes. Currently, his professional practice focuses on corporate advisory, creation and reorganisation of international capital structures, participation in projects to obtain financing from leading Polish banks. He advises clients in connection with family wealth management and generational succession in the Private Clients practice, in particular using the institution of a Polish family foundation.

Professional experience:

  • Family foundations formation (including registration in the register of family foundations) and legal services to family foundations (e.g. when equipping the founders with key assets such as shares in public companies listed on the WSE)
  • Demerger of a holding company (large Polish property developer) leading to division of assets into two separate ownership structures
  • Reorganisation of the international group to bring its structure in line with investment fund regulations and recommendations of the Financial Supervision Commission
  • Raising finance for a family-owned group investing in the industrial and food processing sectors, involving both the refinancing of existing debt in the group and the financing of a tender offer for shares in a public company
  • Advising on the sale of residential and office assets of a leading Polish family-owned property development group
  • Obtaining Poland’s first closed-end investment fund bank financing for the development of a renowned hotel and leisure complex
  • Several reorganisation processes of holding structures, including entities holding controlling stakes in public companies (with particular regard to capital market law requirements)
  • Corporate advisory to companies in the presence of corporate disputes between owners
