Joanna Sarkowicz specialises in the structuring and reorganisation of capital groups, including holding companies, business transactions, transformations, domestic and cross border mergers and demergers.
Joanna provides legal and tax advice with a particular focus on foreign jurisdictions, including Luxembourg, Portugal, Malta, Cyprus and the Netherlands.
She provides strategic advice to business owners and national and international capital groups, as well as advisory services to national and international capital market structures. She advises public companies and entities in the financial sector, in particular investment funds.
She handles M&A, debt and mezzanine financing transactions and implements management option schemes. She has advised on numerous occasions on transactions related to the issuance of debt securities and the establishment of investment funds and alternative investment companies under both Polish and foreign law (Maltese, Luxembourg, Cypriot).
Joanna is the author of the BeckDirect modules (in the Legalis system of CH Beck publishing) containing practical guidance on the operation of a limited liability company and co-author of the Commentary to the Act on Investment Funds and Management of Alternative Investment Funds (CH Beck).
Joanna is an individually recommended lawyer in Rzeczpospolita’s ranking in the Capital Markets and Regulatory Advisory category (from 2022, category leader from 2023).
Education:
- Legal studies at the Faculty of Law and Administration of the Jagiellonian University in Krakow (graduated with honours)
- Legal training at the Regional Chamber of Attorneys-at-law in Krakow (entered onto the list of attorneys-at-law in 2011)
- Completed postgraduate studies at the Cracow University of Economics in the area of tax consultancy
